Terms of service

These terms are between Kitchio, a trading name of [Kitchio Ltd, a company registered in England and Wales, company number 00000000, registered office: address] (“Kitchio”, “we”), and the business using our service (“you”). By completing onboarding or using the service, you agree to them.

1. The service

We build and host an online ordering website for your restaurant, with a staff dashboard, and the features described on kitchio.co.uk at the time you sign up. We may improve or change features over time, and we won't remove a core feature you rely on without telling you first.

2. Fees

The fee is £35 per restaurant location per month, unless we agree a different price in writing. There's no setup fee and no commission on orders. We bill monthly in advance [by card or Direct Debit]. [Prices include / exclude VAT.] If a payment fails and isn't fixed within 14 days of us telling you, we may pause your site until it is.

3. Payments from your customers

Customers pay into your own Stripe account, under your agreement with Stripe. Stripe's fees are charged by Stripe, not by us. We never hold your money, and refunds are made from your Stripe account.

4. Your responsibilities

You're responsible for your food and your service, including:

• accurate menus, prices, allergen information and descriptions, and keeping them up to date;
• food safety, hygiene ratings, licences and registrations;
• preparing and delivering orders, and dealing with customer complaints and refunds;
• having the rights to any logos, photos and text you give us;
• keeping your dashboard password safe;
• complying with consumer, food and data protection law as the seller and as controller of your customers' information.

5. Acceptable use

Don't use the service for anything unlawful, misleading or harmful, and don't try to break, overload or get around its security. We may suspend a site that puts customers, other clients or the service at risk, and we'll tell you why.

6. Availability

We work hard to keep sites running around the clock, but we can't promise the service will never be interrupted. Our hosting and payment partners may have outages outside our control. We'll fix problems we're responsible for as quickly as we reasonably can.

7. Data protection

For your customers' information, you're the controller and we're your processor. We'll process it only to provide the service and on your documented instructions; keep it confidential and secure; use only the sub-processors listed in our privacy policy (and tell you before adding new ones); help you respond to customer requests and data breaches; and delete or return it when our contract ends. These commitments form our data processing agreement under Article 28 of the UK GDPR.

8. Ownership

You own your menu, brand, photos, and your customer list. We own the Kitchio software and templates. While you're a client, you have the right to use them for your restaurant. If you leave, we'll give you an export of your customer list on request.

9. Liability

Nothing in these terms limits liability that can't legally be limited, such as for death or personal injury caused by negligence, or fraud. Otherwise, we're not liable for loss of profit, revenue, business or goodwill, or for indirect losses, and our total liability in any 12 months is limited to the fees you paid us in that period.

10. Ending the service

There's no minimum term. You can cancel at any time by emailing hello@kitchio.co.uk, and your site will stay live until the end of the month you've paid for. We can end the service with 30 days' notice, or straight away if you seriously break these terms.

11. Changes to these terms

We'll give you at least 30 days' notice of changes that affect you. If you don't agree, you can cancel before they take effect.

12. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
